MEMORANDUM
Subject: Guarantee of Confidentiality and Protection of Copy rights
Date: November 5, 20-
In the interest of insuring against any misunderstandings or legal difficulties, I, Karen J.Smith would like to make the following guarantees in writing:
1.All drawings, designs, specifications, and all other information of a c onfidential nature made available to me during the performance of duties at F.J. and Associates Co., Ltd., shall be kept strictly confidential. Such informatio n shall not be sold, transferred or divulged in any manner to anyone without the prior writen consent of F.J.and Associates Co., Ltd.
2.The copyrights to all materials including instructional materials, test s, and other expertise made available to me during my employment are understood to be the property of F.J.and Associates Co., Ltd., and shall be kept strictly c onfidential by me. I shall not se11, transfer or divulge such materials to anyon e without the prior written consent of F.J.and Associates Co., Ltd.
3.Guarantees made under this memorandum shall survive the termination of the period of my services to F. J. and Associates Co., Ltd., unless the informat ion or data disclosed hereunder becomes a matter of common public knowledge.
